LAW 830 - Securities Regulation3 Credit Hours Basic structure and operation of the federal securities laws, including legal issues associated with: primary and secondary public and private securities offerings; Section 11 of the Securities Act of 1933, as amended, Rule 10b-5 under the Securities Exchange Act of 1934, as amended, and other antifraud provisions; periodic reporting and other disclosure requirements; the regulation of proxy solicitations, tender offers, and securities transactions involving officers, directors, and other insiders; and the regulation of stock markets and professional service providers in the securities industry.
